Role Summary
Blue Energy is seeking an Associate General Counsel to provide legal support on a wide array of transactional matters, including procurement, commercial and corporate matters. The Associate General Counsel will report to the Deputy General Counsel and will work collaboratively with Blue Energy’s business teams, outside counsel and Blue Energy’s other outside stakeholders such as customers, suppliers and investors. This role is ideal for a proactive legal professional who thrives in a collaborative commercial environment and enjoys working across multiple facets of commercial and corporate law, project finance, and nuclear energy development.
Key Responsibilities
Act as a trusted legal advisor to leadership, offering strategic insights on commercial contracts, project-specific considerations, and risk mitigation strategies
Draft, review and negotiate supply and purchase contracts in support of the engineering, construction and procurement teams.

General corporate and transactional legal support:
Draft, review, and negotiate NDAs
Handle entity formations, including drafting formation documents and resolutions
Assist with corporate governance and contractual compliance
Ensure bankability of all project development documents, including site control documents, utility agreements and offtake.
File, track and update a variety of business and legal templates and documents.
Understand the nature of the business in order to provide value-added service and enhance working relationships.
Advise on legal and regulatory/export control issues.
Coordinate with intellectual property team on intellectual property issues.
Manage outside counsel.
Qualifications
Minimum of 4+ years' relevant experience, including top law firm experience, preferably in project finance, project development and/or energy sectors; experience in-house and/or the nuclear sector is a plus.
Strong contract and commercial law experience, including project finance transactions.
Commercial mindset. Ability to balance business goals with legal and regulatory compliance objectives efficiently.
Ability to work independently and collaboratively in a fast-paced environment.
Willingness to learn regulatory matters, including export control, in the nuclear context.
Ability to manage outside counsel effectively and efficiently.
Demonstrated creativity in legal approaches to complex problems and issues that balance business needs and legal risks.
History of integrity, sound legal and business judgment and an ability to communicate effectively.
J.D. required with license to practice in at least one state
